Leaders Engine ("Leaders Engine," "we," "us," or "our") is a brand and CRM/SaaS platform operated by The Barker Leadership Institute LLC, doing business as Leaders Engine ("Company"). These Terms & Conditions ("Terms") govern your access to and use of Leaders Engine (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

For the purposes of these Terms:

• Account means a unique account created for you to access our Service or parts of our Service.
• Company (referred to as "the Company," "we," "us," or "our") refers to The Barker Leadership Institute LLC, doing business as Leaders Engine, 11001 N Oregon Ave, Tampa, FL 33612.
• Service refers to the Leaders Engine website and CRM platform.
• Service Provider means any third-party company or individual that processes data or supports operation of the Service on the Company's behalf, such as GoHighLevel.
• You means the individual or entity accessing or using the Service.

2. Description of Service

Leaders Engine provides a CRM and business automation platform, including lead capture, nurture, and sales pipeline management tools, built on GoHighLevel's underlying technology.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Account Registration

To use certain features of the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5. Subscription and Payment

• Access to the Service is provided on a subscription basis as described at the time of purchase.
• Payments are processed through GoHighLevel's built-in billing system.
• Subscription fees are billed in advance on a recurring basis unless otherwise stated.
• You are responsible for providing accurate billing information and keeping it up to date.

6. Cancellations and Refunds

Cancellation and refund terms are governed by our Return Policy, which is incorporated into these Terms by reference.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited communications in violation of applicable law (e.g., CAN-SPAM, TCPA)

8. Intellectual Property

The Service, including all software, content, and branding, is owned by the Company or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Third-Party Services

The Service relies on third-party infrastructure, including GoHighLevel. We are not responsible for the availability, performance, or practices of third-party services beyond our control.

10. Links to Other Websites

Our Service may contain links to other websites that are not operated by us. If you click a third-party link, you will be directed to that third party's site. We strongly advise you to review the terms and privacy policy of every site you visit. We have no control over and assume no responsibility for the content, terms, or practices of any third-party sites or services.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

13. Indemnification

You agree to indemnify and hold harmless the Company, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.

14. Termination

We reserve the right to suspend or terminate your access to the Service at our discretion, including for violation of these Terms.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved informally. If informal resolution is unsuccessful, the dispute shall be resolved through binding arbitration on an individual basis, rather than in court, except that either party may bring an individual action in small claims court. Any arbitration will take place in the State of Florida.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Return Policy, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements.

18. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
